Terms of Use

1. About these Terms

These Terms of Use ("Terms") govern your use of the Locustra platform provided by Locustra OÜ (registry code 17382709, VAT EE102929063, registered at Reti tee 16, Peetri alevik, Rae vald, Harju maakond, 75312, Estonia) ("Locustra", "we", "us").

By creating an account, accessing, or using the Locustra platform you ("you", "Customer" if you sign up on behalf of an organisation) agree to be bound by these Terms.

If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. In that case "you" and "Customer" refer to that entity.

2. The Service

Locustra is a multi-tenant, web-based platform for managing sales orders, quotes, production, planning, customers, suppliers, products, BOMs, and related business operations ("Service"). Specific features available to you depend on your subscription plan.

We may add, modify, or remove features at any time. We will give you reasonable advance notice of material changes that adversely affect a feature you actively use.

3. Account registration

  • You must provide accurate, current, and complete information when registering.
  • You are responsible for keeping your login credentials secure and for all activity under your account.
  • You must be at least 18 years old (or the age of majority in your jurisdiction).
  • You must promptly notify us at support@locustra.ai if you suspect unauthorised access to your account.

4. Subscription, fees, and billing

  • Access to paid features requires an active subscription. Pricing and plan details are published on our website or specified in a separate order form.
  • Fees are charged in advance for the subscription period (monthly or annual) and are non-refundable except where required by law.
  • Estonian VAT (KMKR EE102929063) will be applied where applicable. EU business customers with a valid VAT ID will be invoiced under the reverse-charge mechanism.
  • We may change subscription pricing on renewal with at least 30 days' notice.
  • If a payment is overdue by more than 14 days we may suspend the Service after written notice.

5. Free trials and pilots

If we offer you a free trial or pilot, the trial runs for the period stated when you sign up. We may modify or terminate trials at any time. At the end of the trial, your account will be suspended unless you purchase a subscription.

6. Acceptable use

You agree not to:

  • use the Service for any unlawful purpose, or to send unsolicited bulk email ("spam") through the email integration features;
  • use the Service to send messages that are defamatory, fraudulent, obscene, harassing, or that infringe any third party's rights;
  • attempt to access another tenant's data or otherwise compromise the security of the Service;
  • reverse-engineer, decompile, or attempt to derive the source code of the Service, except to the extent permitted by mandatory law;
  • introduce malware, scrape the Service, or interfere with its operation;
  • resell or sublicense the Service without our prior written consent;
  • exceed reasonable usage limits, or use the Service in a way that imposes a disproportionate load on our infrastructure.

We may suspend your account immediately if we reasonably believe you are in breach of this section.

7. Customer data and ownership

  • You retain all rights, title, and interest in the data you submit to the Service ("Customer Data"). We claim no ownership over Customer Data.
  • You grant Locustra a worldwide, non-exclusive, royalty-free licence to host, store, process, transmit, and display Customer Data solely as necessary to provide and improve the Service.
  • You are responsible for ensuring that you have the right to upload and process the Customer Data in the Service, including obtaining any necessary consents from data subjects.
  • You are responsible for the accuracy, quality, and legality of Customer Data.

8. Email integrations and Limited Use

Locustra allows you to send emails (such as quotes) on behalf of an email account you connect via SMTP, Microsoft (Outlook), or Google (Gmail).

For the Google and Microsoft OAuth integrations:

  • We only access the minimum scopes required to send mail on your behalf (gmail.send for Google, Mail.Send for Microsoft).
  • We do not read, store, or index your inbox, sent folder, or any other mail content.
  • We will not use data obtained from these APIs to train generalised AI or machine-learning models, and will not use it for advertising.

You are responsible for:

  • the content of any email you send through the Service,
  • ensuring you have a lawful basis to email the recipients,
  • complying with applicable email laws (e.g. GDPR, CAN-SPAM, ePrivacy Directive), including providing recipients with a way to opt out where required.

9. AI features

Locustra includes optional features powered by third-party large language models (currently Anthropic's Claude and OpenAI's GPT models). When you use an AI feature, the relevant prompt and context are transmitted to the AI provider's API. We rely on these providers' contractual commitments not to use API content to train their models. You are responsible for not submitting sensitive personal data to AI features unless your use case explicitly requires it.

10. Intellectual property

The Service, including its software, design, trademarks, and all underlying intellectual property, is and remains the sole property of Locustra OÜ and its licensors. Except for the licence to use the Service granted in these Terms, nothing in these Terms transfers any intellectual property rights to you.

You may submit feedback, suggestions, and ideas about the Service. You grant us a perpetual, irrevocable, royalty-free licence to use that feedback for any purpose, without obligation.

11. Confidentiality

Each party agrees to keep the other party's non-public business and technical information confidential, and to use it only as needed to perform under these Terms. Customer Data is treated as Customer's confidential information.

12. Data Processing Agreement

Where Locustra processes personal data on behalf of the Customer, processing is governed by our Data Processing Agreement ("DPA"), which is incorporated into these Terms by reference. The DPA is available on request from support@locustra.ai.

13. Service availability

We aim to provide the Service with high availability but do not guarantee uninterrupted access. We may schedule maintenance windows, which we will announce in advance where reasonably possible.

The Service is provided "as is" and "as available", without warranties of any kind to the maximum extent permitted by law.

14. Disclaimer of warranties

To the maximum extent permitted by applicable law, Locustra disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be error-free, secure, or uninterrupted.

Nothing in these Terms excludes or limits any warranty or liability that cannot be excluded or limited under applicable law (including consumer rights under Estonian and EU law).

15. Limitation of liability

To the maximum extent permitted by law:

  • Neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business opportunities, even if advised of the possibility.
  • Locustra's total aggregate liability arising out of or related to these Terms or the Service in any 12-month period will not exceed the amount paid by Customer to Locustra in that period (or, for free accounts, EUR 100).
  • These limits do not apply to: (a) liability that cannot be excluded by law, (b) breach of confidentiality obligations, (c) intellectual property indemnification, or (d) gross negligence or wilful misconduct.

16. Indemnification

You agree to defend and indemnify Locustra against any third-party claim arising out of: (a) your breach of these Terms, (b) your Customer Data, including any claim that it infringes a third party's rights or violates law, or (c) your use of the email integration features in violation of applicable law.

17. Termination

  • You may cancel your subscription at any time from your account settings or by emailing support@locustra.ai. Cancellation takes effect at the end of the current billing period.
  • We may suspend or terminate your account if you materially breach these Terms and (where reasonably possible) fail to cure the breach within 14 days of written notice.
  • We may terminate immediately if you become insolvent or use the Service in a way that creates legal or security risk.
  • Upon termination, your right to access the Service ends. We will retain Customer Data for 30 days during which you may export it, after which it will be deleted, except as required for legal compliance.

18. Changes to these Terms

We may update these Terms from time to time. If changes are material we will notify you by email or in-app notice at least 30 days before they take effect. Continued use of the Service after that date constitutes acceptance of the revised Terms. If you do not accept the changes you may terminate your subscription before they take effect.

19. Governing law and jurisdiction

These Terms are governed by the laws of the Republic of Estonia, without regard to its conflict-of-laws rules. The UN Convention on Contracts for the International Sale of Goods does not apply.

Any dispute arising out of or in connection with these Terms shall be finally settled by Harju County Court (Harju Maakohus) in Tallinn, Estonia, unless mandatory consumer-protection law of your country of residence requires otherwise.

20. Miscellaneous

  • Entire agreement. These Terms (together with the Privacy Policy and any DPA or order form) constitute the entire agreement between you and Locustra concerning the Service.
  • No waiver. Failure to enforce any provision of these Terms is not a waiver of that provision.
  • Severability. If any provision is held unenforceable, the rest remains in effect.
  • Assignment. You may not assign these Terms without our prior written consent. Locustra may assign these Terms to an affiliate or in connection with a merger or sale of assets.
  • Force majeure. Neither party is liable for failure to perform due to events beyond reasonable control (natural disasters, war, pandemics, internet outages, etc.).
